1. Description of Service

19thCloudManager is a comprehensive management application designed to help organizations and individuals manage goals, track performance, facilitate team collaboration, and enhance productivity. Key features may include (but are not limited to):

• User registration and profile management.
• Organization creation and member management, including roles and invitations.
• Goal setting, tracking, progress monitoring, and feedback mechanisms.
• Features for giving and receiving praise or recognition.
• A "redirect" feature for feedback or task management, potentially requiring acknowledgment.
• A notification system for important updates and actions.
• Dashboard views for summarizing key information.
• Team management and visibility features.
• Subscription-based access to certain features or for organizational use.
• Audit logs for tracking significant actions within an organization.

2. User Accounts

Account Creation

To access most features of the App, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Responsibility

You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice or liability, for conduct that we believe violates these Terms or is otherwise harmful to other users of the App, us, or third parties, or for any other reason.

3. Organizational Use

Administrators

If you are using the App on behalf of an organization, you may be designated as an administrator. Administrators will have certain controls over the organization's account, including managing members, roles, and access to organizational data.

Member Management

Organizations are responsible for managing their members' access to the App and ensuring their members comply with these Terms.

Organizational Data

The organization is responsible for all data submitted to or generated within its account on the App.

4. User Conduct and Responsibilities

You agree not to misuse the App or help anyone else to do so. You specifically agree not to:

• Probe, scan, or test the vulnerability of any system or network.
• Breach or otherwise circumvent any security or authentication measures.
• Access, tamper with, or use non-public areas of the App, shared areas of the App you have not been invited to, or our (or our service providers’) computer systems.
• Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services.
• Plant malware or otherwise use the App to distribute malware.
• Access or search the App by any means other than our publicly supported interfaces (for example, “scraping”).
• Send unsolicited communications, promotions or advertisements, or spam.
• Send altered, deceptive or false source-identifying information, including “spoofing” or “phishing.”
• Publish anything that is fraudulent, misleading, or infringes another's rights.
• Promote or advertise products or services other than your own without appropriate authorization.
• Impersonate or misrepresent your affiliation with any person or entity.
• Publish or share materials that are unlawfully pornographic or indecent, or that contain extreme acts of violence.
• Advocate bigotry or hatred against any person or group of people based on their race, religion, ethnicity, sex, gender identity, sexual orientation, disability, or impairment.
• Violate the law in any way, or to violate the privacy of others, or to defame others.

5. Content and Data

Your Content

You retain ownership of any intellectual property rights that you hold in the content you submit to the App (e.g., goal descriptions, feedback, praise). By submitting content, you grant us a worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our App), communicate, publish, publicly perform, publicly display and distribute such content for the limited purpose of operating, promoting, and improving our App, and to develop new ones.

Our Content

The App and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of 19thCloudManager and its licensors.

Data Privacy

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use our App. By using our App, you agree that we can use such data in accordance with our privacy policies.

6. Subscription and Payments (If Applicable)

Fees

Certain features of the App may be subject to payment of fees, for example, for organizational subscriptions. All fees are quoted in USD.

Payment

You agree to pay all applicable fees for the services in accordance with the payment terms in effect at the time the fee or charge becomes payable.

Subscription Renewal

Subscriptions may automatically renew unless you cancel your subscription before the end of the current subscription period.

Changes in Fees

We reserve the right to change our subscription fees. We will notify you in advance of any fee changes.

7. Disclaimers

THE APP IS PROVIDED "AS IS," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL 19THCLOUDMANAGER, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You agree to defend, indemnify and hold harmless 19thCloudManager and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the App.

10. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 5 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the App.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions.
